Perceptus is a non-profit corporation, organized under section 501( c) (3) of the Internal Revenue Code, and is located in the United States of America. Perceptus makes no warranties or representations, express or implied, as to the accuracy or completeness of the information contained or referenced therein. You agree that your access and use of our Web sites and the content of the sites is at your own risk.

Neither Perceptus nor any other party involved in creating, producing or delivering our Web sites shall be liable in any manner whatsoever for any direct, incidental, consequential, indirect or punitive damages arising out of your access, use or inability to use the sites, or any errors or omissions in the content of the sites.

Perceptus Web sites and the information contained and referenced in the sites are for informational purposes only. They are designed to support, not replace, an ongoing patient-physician relationship. All text, graphics and artwork appearing on Perceptus Web sites are the proprietary copyrighted work of Perceptus and are protected by United States federal and international copyright laws. Any reproduction, retransmission or other use is strictly prohibited.

User Account

You will receive a password and account designation upon completing the site's registration process. You are responsible for maintaining the confidentiality of your password, and are fully responsible for all activities that occur under your password. You agree to (a) immediately notify the Perceptus of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Perceptus cannot and will not be liable for any loss or damage arising from your failure to comply with this provision, or any other provision under this Terms of Use.

You are responsible for ensuring that no unauthorized person shall have access to your password(s) or account(s). It is your sole responsibility to (1) control the dissemination and use of your passwords; (2) authorize, monitor, and control (a) access to, and (b) use of your Perceptus account(s) and password(s); (3) promptly inform Perceptus if you wish to deactivate a password(s). You grant the Perceptus and all other persons or entities involved in the operation of the site the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the site. Perceptus cannot and does not assume any responsibility or liability for any information you submit to the Site, or for your or third parties' use or misuse of information transmitted or received using the Site.

Termination of Use

You agree that Perceptus, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Site, and remove and discard any Materials within the Site, for any reason. Perceptus may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision hereof may be effected without prior notice, and acknowledge and agree that the Perceptus may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Site. Further, you agree that Perceptus shall not be liable to you or any third-party for any termination of your access to the Site.

General Practices

You acknowledge that Perceptus may establish general practices and limits concerning use of the Site, including without limitation, the maximum number of days that Uploaded Materials will be retained by the Site, the maximum disk space that will be allotted on Perceptus's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Site in a given period of time. You acknowledge that Perceptus reserves the right to remove accounts. You further acknowledge that Perceptus reserves the right to change these general practices and limits at any time, in its sole discretion, without notice.

Disclaimer of Warranties and Limitation of Liabilities

By signifying your agreement to the terms of use, you expressly understand and agree that this site and the content are provided "as is". Perceptus, its agents, and its suppliers, to the fullest extent permitted by law, disclaim all warranties, either express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, non-infringement of third parties' rights, and fitness for a particular purpose. Specifically, perceptus, its agents, and its suppliers make no representations or warranties about the accuracy, reliability, completeness, currentness, or timeliness of the content, software, text, graphics, tools, links, or communications provided on or through the use of the site.

In no event shall perceptus, its agents, its suppliers, or any third parties mentioned on the site be liable for any damages (including, without limitation, incidental and consequential damages, personal injury/wrongful death, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the website or the content, whether based on warranty, contract, tort, or any other legal theory, and whether or not perceptus is advised of the possibility of such damages.

Choice of Law and Jurisdiction

Perceptus is a non-profit corporation, organized under section 501( c) (3) of the Internal Revenue Code, and is located in the United States of America. The Site is intended for the exclusive use of residents of the USA. Access to the Site may not be legal by certain persons or in certain countries outside of the USA. If you access this site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These General Terms of Use are governed by the internal substantive laws of the State of Michigan, without resort to its conflict of laws principles. If any provision of these General Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions. You expressly agree that exclusive jurisdiction for any dispute with Perceptus, or in any way relating to your use of the Site, resides in the courts of Washtenaw County, State of Michigan.
